  • Ongoing Support: Membership and subscription models to maintain business relationships.
3. Contract Formation
  • Acceptance: The Contract begins when we confirm your booking by email.
  • Entire Agreement: The Contract is the entire agreement between you and us.
  • Amendments: Changes to the Contract must be agreed to in writing.
4. Your Obligations
You agree to:
  • Provide accurate and complete information for service delivery.
  • Cooperate with us and third parties involved.
  • Ensure your systems are compatible with our software and platforms.
  • Respect intellectual property rights (see Clause 7)
  • Comply with applicable laws, including data protection regulations.
Consequences of Default: If you fail to meet these obligations, we are not responsible for delays or additional costs, and you will reimburse us for any losses incurred.
5. Fees and Payment
  • Invoices are payable within 30 days of issuance.
  • Late Payments: Interest of 2% per month may apply to overdue invoices.
  • Pricing: Fees are agreed upon in writing and may vary based on service scope.
  • Taxes: Prices are inclusive of GST (NZ) or VAT (UK/Europe), where applicable.
6. Third-Party Services
  • We may engage third-party providers to support service delivery.
  • We ensure third parties uphold our privacy and quality standards.
  • Limitation: We are not liable for delays or failures caused by third parties, except where due diligence was not exercised in their selection.
7. Intellectual Property
  • Ownership: All intellectual property rights in materials, reports, and software remain with us unless otherwise agreed.
  • Licence: You are granted a non-exclusive, non-transferable licence to use our materials solely for your business purposes.
  • Third-Party Materials: Where third-party materials are used, you must comply with their licensing terms.
8. Data Protection
We process personal data in accordance with:
  • New Zealand Privacy Act 2020
  • General Data Protection Regulation (GDPR)

9. Confidentiality
Both parties agree to keep all shared information confidential for 5 years after the Contract ends.
10. Limitation of Liability
  • Exclusions: We are not liable for:
    Loss of profits, business, data, or goodwill.
    Indirect or consequential losses.
  • Liability Cap: Our total liability is limited to the fees paid in the 12 months preceding the claim.
  • Notification: Claims must be made within 3 months of the event.
11. Termination
  • Termination by Either Party: Requires 30 days’ written notice.
  • Immediate Termination: We may terminate immediately if you breach these Terms or fail to pay fees.
  • Upon Termination: Return all materials and pay outstanding fees.
12. Events Beyond Our Control
We are not liable for delays caused by events beyond our control (e.g., natural disasters, pandemics). If such events last more than 30 days, either party may terminate the Contract.
13. Governing Law and Jurisdiction
These Terms are governed by:
  • New Zealand Law for services provided in New Zealand.
  • UK Law for services provided in the UK.
  • EU Regulations for services provided in the EEA.
Disputes will be resolved in the relevant courts.
